1. Agreement to these Terms

By creating an account or using Sutradhar (the "Service"), you agree to these Terms of Service ("Terms") and to our Privacy Policy. If you do not agree, do not use the Service.

2. What the Service is

Sutradhar is a read-only personal steward. With your authorization, it reads from accounts you connect (such as email, calendar, and document storage) and surfaces findings, reminders, and document-readiness to help you stay organized. Sutradhar does not take actions in your connected accounts: it does not send email, modify messages, change your calendar, or alter your files.

Sutradhar is an informational tool. It is not a provider of financial, legal, tax, medical, or other professional advice (see section 9).

3. Eligibility and your account

• You must be at least 18 and able to form a binding contract.
• You are responsible for your account credentials and for activity under your account.
• You agree to provide accurate information and keep it current.

4. Connecting accounts and consent

• When you connect a service (e.g. Google, Microsoft, Slack), you authorize Sutradhar to access it read-only, on the scopes shown to you at connection.
• You represent that you are authorized to connect each account and to allow Sutradhar to access its data.
• You control the Service: you may pause the agent or revoke any connection at any time. Sutradhar acts only within the consent you have given.

5. Acceptable use

You agree not to:

• use the Service unlawfully, or to access data you are not authorized to access;
• attempt to breach security, probe, or disrupt the Service;
• reverse engineer, scrape, or misuse the Service except as permitted by law;
• use the Service to harm others or violate their rights.

6. Intellectual property

The Service, including its software, design, and content (excluding your data), is owned by Adaptive Agility LLC and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal use. You retain all rights to your own data.

7. Third-party services

The Service interoperates with third parties (e.g. Google, Microsoft, Slack, and our AI provider Anthropic). Your use of those services is governed by their terms and privacy policies. We are not responsible for third-party services, and their availability or changes may affect the Service.

8. AI-generated outputs

Sutradhar uses AI to reason over metadata and signals and to generate findings and suggestions. AI outputs can be incomplete, inaccurate, or wrong. Findings are not exhaustive and the absence of a finding does not mean nothing needs your attention. You are responsible for reviewing, verifying, and deciding what to act on.

9. Disclaimers

• No professional advice. Sutradhar surfaces information that may relate to your finances, legal documents, taxes, health, or other regulated matters. This is informational only and is not financial, legal, tax, medical, or other professional advice. Consult a qualified professional before making decisions. Do not rely on Sutradhar for time-critical or high-stakes decisions without independent verification.
• No guarantee of accuracy or completeness. We do not warrant that findings, reminders, deadlines, or document assessments are accurate, complete, or timely.
• "AS IS." To the maximum extent permitted by law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Adaptive Agility LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill, arising from your use of (or inability to use) the Service. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US$100.

11. Indemnification

You agree to indemnify and hold Adaptive Agility LLC harmless from claims arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

• You may stop using the Service and delete your account at any time.
• We may suspend or terminate your access if you violate these Terms or to protect the Service or others.
• Sections that by their nature should survive termination (e.g. sections 6, 9, 10, 11, 14) survive.

13. Changes to the Service and Terms

We may modify the Service or these Terms. For material changes to the Terms, we will provide notice in-app or by email and update the effective date. Continued use after changes means you accept them.

14. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws rules.
